1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and GDS Tech and Entertainment Private Limited (CIN: U73100AP2026PTC126341), a company incorporated under the Companies Act, 2013, having its registered office at 1-18-2, Bapuji Nagar-3, Kadakatla, Tadepalligudem, West Godavari - 534101, Andhra Pradesh, India, operating under the brand name "Godsent Network" ("Company", "we", "us", or "our"). By accessing or using our website godsentnetwork.com, participating in our tournaments, or using our media services, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the service.

2. User Accounts

When you create an account with us, you adhere to the following:

• You must provide accurate, complete, and current information at all times. Failure to do so constitutes a breach of the Terms.
• You are responsible for safeguarding the password that you use to access the Service.
• You may not use as a username the name of another person or entity or that is not lawfully available for use.
• We reserve the right to ban or suspend accounts found violating our community guidelines or cheating in tournaments.

3. Esports Rules & Conduct

• Fair Play: Cheating, hacking, exploiting, or any form of unsportsmanlike conduct is strictly prohibited and will result in immediate disqualification and potential permanent bans.
• Tournament Rules: Each tournament may have its own specific ruleset. By joining a tournament, you agree to adhere to its specific regulations as outlined on the tournament page.
• Prizes: Prize payouts are subject to verification of identity and fair play. We reserve the right to withhold prizes in cases of suspected fraud or rule violations. All prizes are subject to applicable tax deductions including TDS as per the Income Tax Act, 1961.

4. Services & Payments

We provide esports event management, broadcast production, content creation, and related services. All service engagements are governed by specific quotations or agreements issued by the Company. Payment terms, schedules, and conditions are outlined in the respective invoices or quotations issued by GDS Tech and Entertainment Private Limited.

• All prices quoted are exclusive of applicable taxes (GST) unless explicitly stated otherwise.
• Payments must be made as per the agreed schedule. Late payments may attract interest as specified in the invoice.
• Refunds, if applicable, are processed as per our Refund & Cancellation Policy.

5. Intellectual Property

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of GDS Tech and Entertainment Private Limited and its licensors. The Service is protected by copyright, trademark, and other laws of India and applicable international intellectual property laws. The names "Godsent Network", "GODSENT", associated logos, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company. You must not use such marks without our prior written permission.

6. User-Generated Content

Our Service may allow you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material ("Content"). You are responsible for the Content that you post. By posting Content, you grant us a non-exclusive, royalty-free, worldwide license to use, modify, perform, display, reproduce, and distribute such Content on and through the Service (e.g., tournament highlights, social media features).

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall GDS Tech and Entertainment Private Limited, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service. Our total liability shall not exceed the amount paid by you, if any, for accessing the Service during the twelve (12) months preceding the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless GDS Tech and Entertainment Private Limited, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any rights of another.

9. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India without regard to its conflict of law provisions. Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts at Tadepalligudem, West Godavari, Andhra Pradesh, India.

10. Dispute Resolution

In the event of any dispute or difference arising out of or in connection with these Terms, the parties shall first attempt to resolve the matter amicably through good-faith negotiations within 30 days. If the dispute is not resolved through negotiations, it shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended. The seat of arbitration shall be Tadepalligudem, Andhra Pradesh. The arbitration proceedings shall be conducted in English. The award of the arbitrator shall be final and binding on both parties.

11. Severability

If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of these Terms will continue in full force and effect.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page with a revised "Last updated" date. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
